These Affiliate Program Terms & Conditions (“Terms”) govern participation in the Tony Jeffries Boxing Fitness Affiliate Program (“Affiliate Program”), operated by Boxing Fitness, a business based in California, USA (“Boxing Fitness”, “we”, “us” or “our”).

By applying for, joining or participating in the Tony Jeffries Boxing Fitness Affiliate Program, you (“Affiliate”, “you” or “your”) agree to these Terms.

1. ELIGIBILITY AND APPROVAL

Applicants must be at least 18 years old to participate in the Affiliate Program.

Anyone meeting this requirement may apply to become a Tony Jeffries Boxing Fitness Affiliate; however, participation is subject to approval by Boxing Fitness.

We reserve the right to approve or reject an application at our discretion.

Approval as an Affiliate does not create any employment, partnership, agency, joint venture, franchise or other legal or representative relationship between the Affiliate and Boxing Fitness.

Affiliates operate independently and are responsible for their own activities.

2. AFFILIATE COMMISSION

Approved Affiliates will earn 30% commission on qualifying purchases successfully referred through their unique Affiliate link.

Commission is calculated on the amount actually paid by the customer for the eligible program, after any applicable discounts and excluding taxes, refunds, chargebacks and other non-product charges.

Only online programs displayed as eligible within the Affiliate’s Tony Jeffries Boxing Fitness Affiliate dashboard qualify for commission.

Not every Tony Jeffries Boxing Fitness product or service is necessarily included in the Affiliate Program.

3. QUALIFYING PURCHASES

A purchase will qualify for Affiliate commission only when:

The customer has used the Affiliate’s unique Affiliate link;

The purchase has been successfully tracked and attributed to the Affiliate by our Affiliate tracking system;

The program is listed as eligible within the Affiliate’s dashboard;

The transaction is genuine;

The purchase has not been refunded, cancelled, reversed, charged back or identified as fraudulent; and

The Affiliate has complied with these Terms.

Existing Tony Jeffries Boxing Fitness customers may make qualifying purchases through an Affiliate link, provided that the transaction is a new purchase of an eligible program that the customer does not already own.

A purchase of a program that the customer already owns or already has access to will not generate commission.

A transaction will not qualify for commission where attribution or commission results from an obvious technical, tracking, pricing, calculation or administrative error.

4. 30-DAY AFFILIATE TRACKING

Affiliate referrals are tracked for up to 30 days following a customer’s use of an Affiliate link, subject to the operation of our Affiliate tracking system.

If a customer clicks links belonging to more than one Affiliate before purchasing, the last eligible Affiliate link clicked before the qualifying purchase will receive the commission, provided the transaction is successfully tracked.

Cookies and other tracking technologies can be affected by browser settings, privacy settings, cookie deletion, different devices and other factors outside our control.

Boxing Fitness cannot guarantee attribution where the Affiliate tracking system does not record the referral.

5. THE AFFILIATE LINK MUST BE USED

Commission is only payable where a qualifying purchase is successfully tracked through the Affiliate’s unique link.

If a customer purchases without using the Affiliate link, the Affiliate cannot claim commission retrospectively simply because they introduced, recommended or referred the customer to Tony Jeffries Boxing Fitness.

Boxing Fitness is not required to manually attribute or amend a transaction that was not successfully tracked through the Affiliate system.

6. REFUNDS AND CHARGEBACKS

Commission is not payable on any transaction that is subsequently:

Refunded;

Cancelled;

Reversed;

Charged back;

Determined to be fraudulent; or

Otherwise invalidated.

Tony Jeffries Boxing Fitness programs may have different refund periods.

Where a transaction is refunded during the applicable refund period, any associated Affiliate commission will be cancelled.

If commission relating to an invalid, refunded, reversed or charged-back transaction has already been paid, Boxing Fitness may deduct the relevant amount from future Affiliate payments.

Commission remains subject to adjustment for refunds, cancellations, chargebacks and reversals in accordance with these Terms.\

7. PAYMENT OF COMMISSION

Valid Affiliate commission earned during one calendar month will ordinarily be paid during the following calendar month, provided the commission has cleared any applicable validation, refund or review period and remains eligible for payment under these Terms.

There is currently no minimum payout threshold.

Affiliates are responsible for providing and maintaining accurate and complete payment information.

Boxing Fitness is not responsible for delays or failed payments resulting from incorrect or incomplete payment information supplied by an Affiliate.

Payment timing may be affected by weekends, public holidays, payment processors, banking delays or other circumstances outside the reasonable control of Boxing Fitness.

8. TAXES

Affiliates are independent participants in the Affiliate Program and are solely responsible for determining and paying any taxes, duties, charges or other financial obligations arising from Affiliate income.

Affiliates are responsible for providing any tax information or documentation reasonably required by Boxing Fitness for legal, tax or reporting purposes.

Nothing within these Terms creates an employer/employee relationship between Boxing Fitness and an Affiliate.

9. NO SELF-PURCHASES

Affiliates may not use their own Affiliate link to purchase Tony Jeffries Boxing Fitness programs for themselves in order to generate commission.

Affiliates may not earn commission on purchases made by themselves, made on their behalf or made primarily for their own benefit.

Affiliates must not attempt to circumvent this restriction through another account, email address, family member, friend, person or other method.

Commission generated through prohibited self-referrals may be cancelled or deducted from future Affiliate payments.

Repeated or deliberate attempts to generate self-referral commission may result in immediate termination from the Affiliate Program.

10. NO COMMISSION MANIPULATION

Affiliates must not artificially generate or manipulate transactions for the purpose of earning commission.

Prohibited activity includes, but is not limited to:

Fraudulent transactions;

Artificial or fake purchases;

Arranging transactions solely to generate commission;

Manipulating the Affiliate tracking system;

Cookie stuffing;

Forced clicks or misleading redirects;

Artificial traffic, bots or automated clicks; and

Any other attempt to obtain commission that would not otherwise have legitimately been earned.

Boxing Fitness may investigate suspicious Affiliate activity and withhold payment while an investigation is taking place.

Commission associated with fraudulent or prohibited activity will not be payable.

11. DISCOUNT CODES

The Tony Jeffries Boxing Fitness Affiliate Program operates through unique Affiliate links.

Affiliates are not authorised to create, advertise or distribute their own Tony Jeffries Boxing Fitness discount or promotional codes unless expressly authorised in writing by Boxing Fitness.

Affiliates must not advertise expired, false, misleading or unauthorised Tony Jeffries Boxing Fitness discount codes.

12. PROMOTIONAL CONTENT

Affiliates may use marketing materials specifically supplied or approved by Boxing Fitness for Affiliate promotion.

Affiliates may not materially alter, manipulate or modify Tony Jeffries Boxing Fitness marketing materials without written permission.

Affiliates must not use Tony Jeffries Boxing Fitness content in a way that is misleading, deceptive, offensive or damaging to Boxing Fitness, Tony Jeffries or their reputation.

All intellectual property rights in Tony Jeffries Boxing Fitness materials remain with their respective owners.

Permission to use Tony Jeffries Boxing Fitness marketing materials exists solely for participation in the Affiliate Program and ends when Affiliate participation ends.

13. PAID ADVERTISING

Affiliates must obtain prior written permission from Boxing Fitness before running paid advertising promoting Tony Jeffries Boxing Fitness products or programs.

Any permission granted by Boxing Fitness to run paid advertising may be subject to conditions and may be withdrawn or amended by Boxing Fitness at any time.

This includes, but is not limited to, advertising through Google, Meta, Facebook, Instagram, TikTok, YouTube or other paid advertising platforms.

Unless expressly authorised in writing, Affiliates may not bid on or purchase keywords containing:

Tony Jeffries Boxing Fitness;

Boxing Fitness;

Tony Jeffries;

Names of Tony Jeffries Boxing Fitness programs;

Tony Jeffries Boxing Fitness trademarks or brand names; or

Misspellings, variations or terms designed to imitate or compete with Tony Jeffries Boxing Fitness branded searches.

Affiliates must not create advertisements that could reasonably cause a customer to believe the advertisement is being run directly by Boxing Fitness or Tony Jeffries.

14. ADVERTISING DISCLOSURE

Affiliates must clearly disclose their commercial relationship with Tony Jeffries Boxing Fitness when promoting products using their Affiliate link.

The disclosure must be clear, easy to understand and sufficiently prominent for the audience to understand that the Affiliate may receive commission from purchases.

Where reasonably required, the disclosure should appear close to the Affiliate recommendation, promotion or Affiliate link and should not be hidden solely within a profile, terms page or other location that a customer is unlikely to see.

For example:

“I earn a commission if you purchase through this link.”

Depending on the platform and applicable advertising requirements, disclosures such as “Ad” or “Sponsored” may also be required.

Affiliates are responsible for complying with all advertising, endorsement, consumer protection and disclosure requirements that apply to their activities, including applicable Federal Trade Commission requirements and the rules of the platforms they use.

15. ACCURATE MARKETING AND CLAIMS

Affiliates must promote Tony Jeffries Boxing Fitness honestly and accurately.

Affiliates must not:

Make false or misleading claims;

Guarantee specific fitness, weight-loss, health, financial or other results;

Misrepresent the contents or benefits of a Tony Jeffries Boxing Fitness program;

Advertise qualifications or certifications that a program does not provide;

Make claims that cannot reasonably be substantiated;

Create false reviews or testimonials;

Misrepresent prices or offers; or

Imply that they are Tony Jeffries, Tony Jeffries Boxing Fitness, Boxing Fitness or an authorised employee or representative of the company.

Personal experiences and genuine opinions may be shared, provided they are truthful and are not presented as guaranteed results for other customers.

16. EMAIL, SMS AND SPAM

Affiliates must not use spam, unlawful unsolicited messages or deceptive marketing practices to promote Tony Jeffries Boxing Fitness.

Any email, SMS, direct message or other electronic marketing carried out by an Affiliate must comply with all applicable marketing, privacy and anti-spam laws.

Affiliates are solely responsible for ensuring that they have any consent required to contact individuals for marketing purposes.

17. BRAND REPRESENTATION

Affiliates must not create websites, social media profiles, pages, email addresses or other accounts that falsely suggest they are an official Tony Jeffries Boxing Fitness, Boxing Fitness or Tony Jeffries account.

Affiliates must not register domain names, usernames or other identifiers containing Tony Jeffries Boxing Fitness, Boxing Fitness, Tony Jeffries or confusingly similar variations without written permission.

18. MONITORING AND COMPLIANCE

Boxing Fitness may monitor Affiliate promotional activity to protect customers, the Tony Jeffries Boxing Fitness brand and the integrity of the Affiliate Program.

Where we believe an Affiliate may be breaching these Terms, we may request that content be amended or removed.

Affiliates agree to cooperate with reasonable compliance requests from Boxing Fitness.

19. TERMINATION

Affiliates may leave the Affiliate Program at any time.

Boxing Fitness may suspend or terminate an Affiliate’s participation in the Affiliate Program at any time, with or without cause, subject to applicable law.

Where an Affiliate has breached these Terms, engaged in fraud or commission manipulation, misused the Tony Jeffries Boxing Fitness brand or engaged in unlawful or seriously misleading activity, Boxing Fitness may immediately terminate the Affiliate and cancel commissions associated with the prohibited activity.

Following termination, the Affiliate must stop using Tony Jeffries Boxing Fitness Affiliate links and any marketing materials that they are no longer authorised to use.

Where Boxing Fitness terminates an Affiliate who has not breached these Terms, valid commission legitimately earned before the effective date of termination will remain payable, subject to refunds, cancellations, chargebacks, reversals and the other provisions of these Terms.

Where termination results from a breach, fraud or prohibited activity, Boxing Fitness may cancel or withhold commission associated with that activity.

20. CHANGES TO THE AFFILIATE PROGRAM

Boxing Fitness may change the Affiliate Program from time to time.

This may include changes to:

Commission rates;

Eligible programs;

Tracking periods;

Payment arrangements;

Promotional requirements; or

These Terms.

Where reasonably practicable, Affiliates will be informed of any material changes.

Changes to commission rates will apply from the effective date of the change and will not affect commission already validly earned before that date.

Continued participation in the Affiliate Program after any changes take effect constitutes acceptance of the updated Terms.

21. CLOSURE OF THE AFFILIATE PROGRAM

Boxing Fitness reserves the right to suspend, discontinue or close the Affiliate Program at any time.

Where the Affiliate Program is closed, valid outstanding commission legitimately earned before closure will remain payable, subject to these Terms.

22. INDEPENDENT RELATIONSHIP

Affiliates participate as independent parties.

Nothing in the Affiliate Program creates an employment, partnership, agency, franchise or joint venture relationship between an Affiliate and Boxing Fitness.

Affiliates do not have authority to enter into agreements, make commitments, make representations on behalf of, or incur obligations on behalf of Boxing Fitness.

23. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Boxing Fitness will not be liable for indirect, incidental, special or consequential losses arising from participation in the Affiliate Program, including loss of anticipated commission, revenue, profits, data or business opportunities.

We do not guarantee that the Affiliate Program, website, Affiliate dashboard or tracking system will operate without interruption or error.

Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.

24. GOVERNING LAW AND JURISDICTION

These Terms and participation in the Tony Jeffries Boxing Fitness Affiliate Program are governed by the laws of the State of California, without regard to conflict-of-law principles.

Subject to any rights or procedures that cannot legally be excluded, any dispute arising from or relating to these Terms or participation in the Affiliate Program will be subject to the jurisdiction of the appropriate state or federal courts located in Los Angeles County, California.

25. CONFIDENTIALITY

Affiliates must keep confidential any non-public information provided by Boxing Fitness in connection with the Affiliate Program.

This may include non-public sales information, marketing plans, program information, commission information, promotional strategies, business information and other information that would reasonably be considered confidential.

Affiliates must not disclose confidential information to third parties or use confidential information for any purpose other than legitimate participation in the Affiliate Program.

This obligation continues after an Affiliate leaves or is removed from the Affiliate Program.

26. PRIVACY AND PERSONAL INFORMATION

Boxing Fitness may collect and process information relating to Affiliates for the purpose of administering and operating the Affiliate Program.

This may include an Affiliate’s name, contact information, account information, payment information, tax information, Affiliate activity, referrals and commission information.

Personal information will be handled in accordance with the Boxing Fitness Privacy Policy and applicable privacy and data protection laws.

Affiliates are responsible for complying with applicable privacy and data protection laws in relation to any personal information they independently collect or process as part of their Affiliate promotional activities.

27. COMMISSION RECORDS AND DISPUTES

Boxing Fitness’s records and Affiliate tracking system will be used to determine referrals, qualifying purchases, attribution and commission amounts.

Boxing Fitness reserves the right to correct genuine tracking, calculation, payment or administrative errors.

Any query or dispute concerning Affiliate tracking, attribution or commission should be submitted to Boxing Fitness within 60 days of the relevant transaction or Affiliate payment statement.

After this period, the Affiliate will be deemed to have accepted the applicable records and payment, except where prohibited by applicable law.

Nothing in this section requires Boxing Fitness to manually attribute a purchase where the Affiliate link was not successfully tracked.

28. ENTIRE AGREEMENT AND SEVERABILITY

These Terms constitute the agreement between the Affiliate and Boxing Fitness regarding participation in the Tony Jeffries Boxing Fitness Affiliate Program and supersede previous representations or agreements relating specifically to participation in the Affiliate Program.

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will continue in full force and effect.

A failure by Boxing Fitness to enforce any provision of these Terms on one occasion does not constitute a waiver of its right to enforce that provision in the future.

29. AFFILIATE ACCOUNTS AND TRANSFER

Affiliate accounts, Affiliate links and rights under the Affiliate Program are personal to the approved Affiliate and may not be sold, transferred, assigned or shared with another person or business without prior written permission from Boxing Fitness.

Affiliates are responsible for maintaining the security of their Affiliate account and for activity conducted through their account.

30. SURVIVAL

Any provisions of these Terms which by their nature should continue after an Affiliate leaves or is removed from the Affiliate Program will survive termination.

This includes, where applicable, provisions relating to outstanding commission and adjustments, taxes, confidentiality, intellectual property, limitation of liability, governing law and disputes.

31. ACCEPTANCE OF THESE TERMS

By applying for, joining, accessing or participating in the Tony Jeffries Boxing Fitness Affiliate Program, the Affiliate confirms that they have read, understood and agreed to these Terms.

Where acceptance is provided electronically, including by selecting an “I agree” checkbox, submitting an Affiliate application or otherwise electronically accepting these Terms, that acceptance will have the same effect as agreeing to these Terms in writing.

If an Affiliate does not agree to these Terms, they must not participate in the Affiliate Program.
